Welcome to VEDARION. By booking a session, enrolling in a course, or using any of our services, you agree to the following Terms of Service. If you do not agree to these terms, do not use our services.
VEDARION LLC ("VEDARION," "we," "our," or "the Company") provides educational test preparation services, including one-on-one LSAT tutoring sessions, group courses, workshops, and digital learning resources. Our services are designed to teach strategies and skills for standardized test preparation. All services are provided by VEDARION LLC, an Illinois limited liability company.
By checking the "I agree to the Terms of Service" box during booking or enrollment, you acknowledge that you have read, understood, and agree to be bound by these Terms. This electronic acceptance constitutes a legally binding agreement between you ("Client," "Student," or "you") and VEDARION LLC. If you are under 18 years of age, your parent or legal guardian must accept these Terms on your behalf.
3.1 Fees
All fees for services are listed on our website at vedarion.com and are subject to change at VEDARION's discretion. Current pricing will be displayed at the time of booking or enrollment.
3.2 Payment Processing
All payments are processed securely through our designated third-party payment processor(s). VEDARION does not directly store your credit card or payment information. By making a payment, you agree to the terms of service and privacy policy of the applicable payment processor. Our current payment processor is listed on our website at the time of checkout.
3.3 Payment Due
Payment for one-on-one tutoring sessions is due at the time of booking. Payment for courses is due at the time of enrollment unless a payment plan is explicitly offered and agreed upon in writing.
4.1 No Refunds
All sales are final. VEDARION does not offer refunds for tutoring sessions, course enrollments, or any other services or digital products as a matter of standard policy. Refunds may be granted at VEDARION's sole and absolute discretion in extraordinary circumstances. Any such refund does not establish a precedent or obligation for future refunds.
4.2 Rescheduling
If you need to reschedule a tutoring session, you must provide at least 24 hours' notice prior to your scheduled session. Sessions cancelled or missed with less than 24 hours' notice will be forfeited and no makeup session or credit will be provided.
4.3 Package Expiration
Multi-session packages (including 5-session and 10-session packages) must be used within 6 months of the date of purchase. Unused sessions after the expiration period will be forfeited and no refund or credit will be provided. Extensions may be granted at VEDARION's sole discretion.
4.4 Company Cancellation
In the event VEDARION cancels a session or is unable to deliver a scheduled service, VEDARION will offer a rescheduled session or, at its sole discretion, a credit toward future services.
VEDARION provides educational strategies, tools, and instruction to help you prepare for the LSAT. However, VEDARION makes no guarantees, representations, or warranties regarding specific outcomes, including but not limited to: LSAT scores, score improvements, law school admissions, scholarships, or career outcomes. Your results depend on many factors beyond our control, including your effort, study habits, prior preparation, test-day conditions, and individual ability. By using our services, you acknowledge that VEDARION is not responsible for your exam performance or any decisions made by law schools or other institutions.
6.1 Liability Cap
To the maximum extent permitted by law, VEDARION's total liability to you for any and all claims arising out of or related to our services shall not exceed the total amount of fees you actually paid to VEDARION during the twelve (12) months preceding the claim.
6.2 Exclusion of Damages
Under no circumstances shall VEDARION be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: loss of income, loss of opportunity, emotional distress, or damages related to exam scores, law school admissions outcomes, scholarship decisions, or career results, regardless of whether VEDARION was advised of the possibility of such damages.
6.3 Acknowledgment
You acknowledge that the limitations set forth in this section are an essential basis of the agreement between you and VEDARION, and that VEDARION would not provide its services without these limitations.
7.1 Ownership
All course materials, curricula, worksheets, flowcharts, videos, methodologies, strategies, and other content provided by VEDARION are the exclusive intellectual property of VEDARION LLC. This includes materials delivered in person, online, or through any digital platform.
7.2 Restrictions
You may not copy, reproduce, distribute, share, upload, sell, license, or create derivative works from any VEDARION materials without the express written consent of VEDARION LLC. This includes but is not limited to: recording tutoring sessions (audio or video), screenshotting or photographing course materials, sharing materials with individuals who have not purchased the service, and posting materials on any public or private platform.
7.3 Personal Use Only
Materials provided to you are for your personal, non-commercial use only. Your access to materials is non-transferable and may be revoked if these terms are violated.
7.4 Third-Party Content
Some materials used in our services may include content licensed from third parties, including official LSAT content licensed from the Law School Admission Council (LSAC). Such content is subject to the terms and restrictions of the original rights holder, and your use of such content is limited to your participation in VEDARION's services.
8.1 Data Collection
VEDARION collects personal information necessary to provide our services, including your name, email address, phone number, payment information (processed by our designated third-party payment processor), and performance data related to your use of our services.
8.2 Data Use
VEDARION may use your data for the operation, improvement, and delivery of our services, including but not limited to: scheduling, communication, analytics, AI-powered study tools, and service personalization. VEDARION may share your data with third-party service providers as necessary for these purposes.
8.3 Recording of Sessions
VEDARION reserves the right to record any and all tutoring sessions, courses, workshops, and other interactions, whether conducted in person, by video, or by phone, for purposes including but not limited to: quality assurance, training, content creation, marketing, and internal review. By using our services, you consent to such recording. If you do not wish to be recorded, you must notify VEDARION in writing prior to the session; however, VEDARION reserves the right to decline to provide services without recording. All recordings are the exclusive property of VEDARION LLC.
8.4 Testimonials and Marketing
VEDARION may request to use your name, testimonial, or score improvement for marketing purposes. Any such use will only occur with your express written or electronic consent, which you may revoke at any time.
9.1 Informal Resolution
If you have a dispute with VEDARION, you agree to first contact us at vedarion.tutoring@gmail.com to attempt to resolve the issue informally. VEDARION will make good faith efforts to address your concern within thirty (30) days.
9.2 Binding Arbitration
If the dispute cannot be resolved informally, you and VEDARION agree to resolve any and all disputes through binding arbitration administered in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Cook County, Illinois. You agree that arbitration shall be conducted on an individual basis only and not as a class action or representative proceeding. The prevailing party shall be entitled to recover reasonable attorney's fees and costs.
9.3 Waiver of Jury Trial and Class Action
By agreeing to these terms, you waive your right to a jury trial and your right to participate in a class action lawsuit or class-wide arbitration against VEDARION. This waiver applies to all claims arising out of or related to these Terms or your use of VEDARION's services.
VEDARION shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond VEDARION's reasonable control, including but not limited to: natural disasters, pandemics, epidemics, government actions or orders, internet or technology outages, power failures, acts of terrorism, civil unrest, or any other force majeure event. In the event of a force majeure, VEDARION will make reasonable efforts to resume services as soon as practicable and may, at its sole discretion, offer rescheduled sessions or credits for affected services.
11.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles.
11.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
11.3 Entire Agreement
These Terms, together with any enrollment agreement or booking confirmation, constitute the entire agreement between you and VEDARION with respect to the services provided.
11.4 Modifications
VEDARION reserves the right to modify these Terms at any time. Updated Terms will be posted on our website with a revised "Last Updated" date. Your continued use of our services after any modification constitutes your acceptance of the updated Terms.
